Terms of Service

CostPlusIQ, a product of Ensoul Inc · Effective 2026-09-30

These terms govern use of the CostPlusIQ inference API, operated by Ensoul Inc (“we”). Creating an API key is acceptance of them.

The service

We serve open-weight models over an OpenAI-compatible HTTP API, billed per token at the rates published in the model document — the same document routers and clients read programmatically. Quoted price and billed price come from that one source.

These are the ZDR rates. Standard-tier keys bill at the standard rates listed for each model on the pricing page. Every rate we bill is a listed price, never a computed one. Prices may change with notice. A change never applies retroactively to tokens already served.

Your content, and the key tier you choose

You keep all rights in what you send and in what the model returns. How we may use it is set by the tier you choose when you create each API key, and is fixed for that key's life:

• Standard keys (the default). You grant us a non-exclusive licence to retain and use the prompts, media, and model outputs of requests sent with the key to train, evaluate and improve our models, in exchange for the standard rates listed on the pricing page. This is the tier pre-selected when you create a key; choose ZDR at creation if you do not want it.
• ZDR keys. Zero data retention: we take no licence in your content beyond what is required to compute and return your response. We do not train on it and we do not retain it. ZDR keys bill at the full published rates.

Keys created before 2026-08-23, when ZDR was the default, remain ZDR: the tier is fixed at creation and this change is not retroactive.

The privacy policy lists what we keep on every tier: token counts and request metadata.

Billing

• Usage is metered per request from the token counts the inference servers report and recorded to a durable ledger. The console shows the same numbers we bill from.
• Self-serve accounts pre-pay for credits. Invoiced accounts are billed monthly in arrears, net 30.
• Requests we refuse (HTTP 429 at capacity) and requests that fail on our side (HTTP 5xx) are never billed.
• Disputes: raise them within 30 days at billing@ensoul.inc, quoting the x-costplusiq-request-id returned on every response. We keep per-request billing records for 7 years so a dispute can be settled from evidence.

Acceptable use

Do not use the service to:

• Break the law, or help someone else break it.
• Produce or process child sexual abuse material or non-consensual intimate imagery.
• Harass, threaten, defame or impersonate a real person.
• Build weapons, malware, or intrusion tooling.
• Conduct surveillance or biometric identification of people without a lawful basis.
• Attack the service: probe it without authorisation, or evade rate limits or capacity controls.

Reselling and aggregation are allowed: routers and platforms may resell our capacity, provided the limits, prices and data-handling properties in the model document are represented to end users accurately.

We do not inspect content in the serving path, and ZDR content is never kept at all (see the privacy policy), so enforcement is driven by complaints, legal process and request metadata, not content inspection. Our remedy is to suspend a key or an account that violates these rules, threatens the service, or that we are legally required to stop serving. Report abuse to legal@ensoul.inc. You may stop using the service at any time; the refund policy covers unused credits.

Availability and warranties

The service is provided “as is”, without warranties of any kind and without an uptime guarantee. A request refused at capacity returns HTTP 429 immediately rather than queueing, and is not billed. Model outputs are probabilistic; you are responsible for evaluating their fitness for your purpose.

Liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the service is limited to the fees you paid us in the three months preceding the claim. Neither party is liable for indirect, incidental or consequential damages.

Changes, law, contact

We may update these terms. Material changes are announced by email to account holders at least 14 days before they take effect, and the effective date above names the current version. These terms are governed by the laws of the State of Delaware, United States. Questions: legal@ensoul.inc.
